Terms of Service

1. Acceptance of Terms
These Terms of Service (the “Terms”) form a binding legal agreement between you (“you” or “User”) and SpyCore AI (“SpyCore”, “we”, “our”, or “us”). They govern your access to and use of the SpyCore AI web application, mobile apps, desktop client, public APIs, documentation, and any other products or services we offer that link to these Terms (collectively, the “Service”).
By creating an account, clicking “I agree”, or otherwise using the Service, you confirm that you have read, understood, and accept these Terms, along with our Privacy Policy. If you do not agree, you must not use the Service.
2. Use of Service
SpyCore grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal or internal business purposes, subject to these Terms. The Service is provided “as-is” in its current form, and features may be added, modified, or removed over time.
You must be at least 13 years old to use the Service, and at least the age of majority in your jurisdiction to enter into a paid subscription. If you use the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, in which case “you” refers to that organisation.
3. User Accounts
To access most features of the Service you must create an account using accurate, current, and complete information. You agree to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. We strongly recommend that you enable two-factor authentication.
You must notify us immediately at security@spycore.ca if you suspect any unauthorised use of your account. SpyCore is not liable for any loss or damage arising from your failure to protect your credentials. We reserve the right to suspend or terminate accounts that show signs of compromise or that are used in violation of these Terms.
4. Acceptable Use Policy
You agree not to use the Service, or allow any third party to use the Service, in a manner that is illegal, harmful, fraudulent, or infringing. In particular, you must not:
- Develop, distribute, or execute malware, spyware, viruses, ransomware, or any code intended to disrupt or gain unauthorised access to systems.
- Scrape, crawl, mirror, or otherwise harvest content from the Service beyond the allowances of our public API, or attempt to circumvent rate limits or quota controls.
- Harass, threaten, dox, impersonate, or defame any person, or send abusive, sexually-explicit, or discriminatory content to other users.
- Generate, request, solicit, or distribute child sexual abuse material (CSAM) or any other content that sexualises minors. Violations will be reported to law enforcement.
- Use the Service to plan or facilitate illegal activity, including fraud, trafficking, the development of weapons capable of mass harm, or attacks on critical infrastructure.
- Reverse-engineer, decompile, or attempt to extract the weights, prompts, or source code of SpyCore’s models or platform, except to the extent such restrictions are prohibited by applicable law.
We may update this Acceptable Use Policy to address new threats or emerging misuse. Serious or repeated violations may result in immediate suspension or termination without refund, in addition to any other remedies available to us at law.
5. Subscription and Billing
Paid plans are sold on a monthly or annual subscription basis, with pricing as shown on our Pricing page. Subscriptions automatically renew at the end of each billing cycle at the then-current rate until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the paid period and you retain access until then.
All fees are charged in advance and are non-refundable except where required by law or expressly stated in our refund policy. If a recurring payment fails, we may suspend the paid features of the Service until the balance is cleared. Applicable taxes will be added to the stated price in jurisdictions where we are required to collect them.
We reserve the right to change subscription prices or introduce new fees with at least 30 days’ notice. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new rate. If you do not agree to the new rate, you may cancel before it takes effect.
6. Intellectual Property
SpyCore AI, including the software, models, website, documentation, trademarks, logos, and underlying technology, is owned by SpyCore AI and its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of the Service itself to you.
You own the outputs. As between you and SpyCore, you retain all rights you have in the prompts and inputs you submit, and we assign to you the rights we may have in the corresponding outputs generated by our models, subject to your compliance with these Terms. You are responsible for ensuring that your use of the outputs complies with applicable law and with any third-party rights.
Because generative models can produce similar responses to different users, outputs are not guaranteed to be unique. SpyCore may independently develop or provide to other users outputs that are similar or identical to yours. You grant SpyCore a limited licence to process your inputs and outputs solely to operate and improve the Service in accordance with our Privacy Policy.
7. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPYCORE DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY.
Large language models can generate inaccurate, biased, or misleading information. You must not rely on model outputs as a substitute for qualified professional advice, including medical, legal, financial, or safety-critical advice. You are solely responsible for reviewing outputs before acting on them, and for the consequences of doing so.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPYCORE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SPYCORE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO SPYCORE FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Termination
You may stop using the Service at any time and may delete your account from the account settings page. We may suspend or terminate your access to all or part of the Service, with or without notice, if you violate these Terms, if required by law, or if continued provision of the Service to you poses a material risk to SpyCore or other users.
Upon termination, your right to use the Service ends immediately, and we may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination — including sections on Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law — will continue to apply.
10. Changes to Terms
We may revise these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the “Last updated” date, and we will notify you by email or through an in-app notice at least 14 days before the changes take effect. Non-material changes, such as typographical corrections, take effect immediately.
If you do not agree to the revised Terms, you must stop using the Service and, if applicable, cancel your paid subscription before the effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
11. Contact
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in Toronto, Ontario, and you consent to the exclusive personal jurisdiction of those courts.
